1. Introduction
These Terms & Conditions (“Agreement”) govern the use of the vessel brokering platform (“Platform”) operated by Tetran Tech&Marine-F.Z.E, a Free Zone Establishment incorporated in the United Arab Emirates.
By submitting an enquiry as a Charterer, you agree to be legally bound by this Agreement.
2. Platform Role
The Platform acts strictly as an independent shipbroker:
- Facilitates vessel sourcing and negotiations
- Connects Charterers with Vessel Owners
The Company:
- Is not a carrier or operator
- Is not a party to the Charter Party Agreement
- Does not guarantee vessel performance or availability
3. Charterer Obligations
The Charterer agrees to:
- Provide accurate cargo details
- Cargo type
- Quantity
- Load/discharge ports
- Laycan (loading window)
- Ensure cargo legality under applicable laws
- Have financial capacity to perform the charter
4. Charter Party Agreement
4.1 Separate Contract
All fixtures must be formalized through a Charter Party Agreement between Charterer and Vessel Owner.
4.2 Industry Standards
Charter Parties may be based on:
- GENCON
- NYPE
- Other BIMCO standard forms
4.3 Broker Recognition
The Charterer agrees that Tetran Tech&Marine-F.Z.E shall be recognized as broker in all negotiations and agreements.
5. Commission Protection Clause
Even if commission is contractually payable by the Owner, the Charterer agrees:
- Not to bypass the Company
- Not to conclude fixtures directly with introduced Owners without involving the Company
If bypass occurs, the Company reserves the right to claim 1% commission on freight and demurrage from the Charterer.
6. Payment Responsibility
- Charterer is fully responsible for freight payments
- Charterer is fully responsible for demurrage payments
- The Company is not liable for payment disputes
7. Compliance & Cargo Legality
The Charterer warrants that:
- Cargo is lawful and properly declared
- No sanctions violations occur
Must comply with:
- UAE Maritime Commercial Law
- International sanctions regimes
8. Liability
The Company shall not be liable for:
- Cargo loss or damage
- Vessel delay or failure
- Commercial losses
The Charterer agrees to indemnify the Company against:
- Claims arising from cargo
- Regulatory violations
9. Confidentiality
All negotiations, freight rates, and counterparties are strictly confidential.
10. Non-Circumvention
The Charterer agrees:
- Not to bypass the Platform
- Not to engage directly with introduced Owners outside the Platform
This obligation remains valid for 12 months after introduction.
11. Suspension & Termination
The Company may suspend or terminate access if:
- False information is provided
- Sanctions violations occur
- Platform misuse is detected
12. Governing Law
This Agreement shall be governed by the laws of the United Arab Emirates.
Disputes shall be subject to Dubai Courts.
13. Digital Acceptance
This Agreement becomes legally binding upon electronic acceptance on the Platform.
